LEASE OR SELL

One decision, two different lives.
Neither is automatically right.

Sell and you get a number and you are done. Ground lease and you keep the asset and collect for fifty years. The right answer depends on things that have nothing to do with the land.

Most data center land transactions are purchases. Developers generally prefer to own, because they are placing hundreds of millions of dollars of improvements on the site and financing is simpler when the dirt is theirs.

But ground leases happen, particularly where the landowner has leverage — an essential parcel in an assembly, or land in a market with nothing comparable available.

Outright sale

What happens: You convey the land, receive the price, and your involvement ends.

In favour:

  • Clean. No ongoing relationship, no management, no counterparty risk for decades.
  • Liquid. You can diversify, pay debt, or reinvest.
  • Simple to divide among heirs. Cash splits. Land does not.
  • No exposure to the data center industry's future.

Against:

  • You capture today's value, not the next fifty years of it.
  • A large capital gain lands in one tax year.
  • Done is done. If the market doubles, it doubles for someone else.

Ground lease

What happens: You keep title. The tenant builds and operates on your land under a long-term lease, typically decades with renewal options, with rent escalations built in.

In favour:

  • Income for a very long time, usually with escalators.
  • You still own the land. Reversion at the end, whatever that is worth.
  • Income spread across many tax years rather than one event.
  • A long lease to a creditworthy tenant is a financeable asset in itself.

Against:

  • Fewer buyers will do it. You may be trading a lease for a worse price or no deal at all.
  • Counterparty risk across decades. The tenant's credit today is not their credit in 2055.
  • Complexity: subordination, leasehold financing, assignment, default and remedies. Real legal cost.
  • Your heirs inherit a lease to administer, not money.
  • Reversion is uncertain. What is a purpose-built data center shell worth at lease end? Nobody knows.

The questions that actually decide it

Not the land. These:

  1. Do you need liquidity? Debt, age, health, other opportunities. If yes, sell.
  2. What does the family look like? One heir who wants to manage an asset is very different from four who want to be done.
  3. What is your tax position? A single large gain versus decades of ordinary income are not comparable without a CPA. This conversation should happen before you negotiate, not after.
  4. How much leverage do you have? If your parcel is essential to an assembly, you can ask for a structure. If you are one of five workable sites, asking for a lease may simply end the conversation.
  5. How do you feel about the next fifty years? A ground lease is a bet that data centers remain valuable tenants for longer than most industries stay anything.

The middle options

  • Sell part, keep part. Convey the developable core, retain adjoining acreage that may appreciate from the neighbour's substation.
  • Sell with a participation. Rare, hard to negotiate, worth asking about if you have leverage.
  • Installment sale. Spreads the gain across years. A tax structure, not a different deal.
  • 1031 exchange. Defers the gain into other real property. Strict deadlines starting at closing — plan before, not after.
